Our code of ethical conduct

The Code of Ethical Conduct is intended to help all ICAFe group companies implement the above policy, and achieve its mission, protecting and enhancing the company’s reputation; and avoid violations of the law that can be costly and damaging to the ICAFe Group. This Code of Conduct applies to all employees at all levels, ICAFe group expects you to understand this Code of Conduct, to comply with it and with all applicable laws related.  We also expect you to perform your activities related to ICAFe Group with honesty and integrity. If you have doubts about a certain situation we ask you to assess the situation and discuss it with your manager. ICAFe´s Group management has the responsibility to create a working environment with the highest ethical standards and ensure that everyone in the company complies with the Code of Ethical Conduct and that any applicable laws are respected. We all share the responsibility to protect the reputation of ICAFe Group. So that no employee of ICAFe Group may be exempted from complying with this Code of Ethics.

1.Business Integrity

Carrying out business with integrity is a fundamental principle within ICAFe group incorporated in our ethical principles and our core values. Each employee is expected to maintain standards of highest ethical and legal conduct and to comply with all laws and regulations applicable to your job. Employees should raise any concerns they may have on legal, ethical and / or safety issues.  ICAFe group agrees to analyze and investigate, as appropriate, the concerns raised. 

 

   1.1  Employees

For ICAFe its employees are the companies’ main asset and under this principal the company ensures that maximum security will prevail in every working place for the best performance of the employee. Thus, the terms and conditions of employment and working hours are perfectly clear and in the same way complaints and comments of the partners are taken seriously.

   1.2 Quality and Safety

Quality is important for ICAFe Group. We seek excellence and continuous improvement in everything we do. We are all responsible for the quality of our own work. We are committed to understanding the requirements of our customers and to fulfill them or overcome them. We are committed to deliver our products on time and without defects or delays and comply with the standards applied internationally and with local regulations, as well as our own quality standards. There is a safety policy that includes procedures for protection and safety monitoring of workers. Management is responsible for safety issues and ensures that there will be a periodic review of threats and security risks and appropriate response plans.

   1.3 Marketing

In Group ICAFe we are committed to maintaining an honest advertising campaign, ensuring that our publications and promotions are true. We will not make misleading claims about the products we offer or their attributes. We will not make false or misleading remarks about our competitors, either organizations o persons, or its products and services. All products and services will be sold based on merit. When we make comparisons between products and services provided by ICAFe Group and those of our competitors, we must be sure that all statements are objective, accurate and not misleading.

   1.4 Suppliers

We require our suppliers to comply with ethical codes equivalent to those established by the ICAFe Group, and likewise comply with applicable laws, including aspects of occupational safety and ecology. As part of our chain of suppliers, the suppliers we choose must inter alia comply with the anti-corruption law, anti-money laundering and anti-trust law, they must follow all applicable labor laws that provide fair treatment to their workers, providing a safe working environment and protecting the environment.

2. Business Ethics

Our commitment to business development is to maintain a responsible, ethical and fair behavior. We base our business decisions on what is best for the company, looking after their interests and working to eliminate all forms of corruption, including bribery and extortion. We compete fairly in compliance with applicable laws in the place where we develop our business.

   2.1 Anti-corruption

At ICAFe Group we don´t allow our employees to give money or gifts, including any service to government officials this in order to ensure a transparent relationship. We do not give any gifts to employees of our customers that may be misinterpreted as bribes in order to influence the decision in our favor. The acceptance of personal gifts, payments or services from those seeking to do business with ICAFe Group is against the gifts policy established by this Code of Conduct. We do not allow our employees to participate in any form of corruption, either a payment for facilitating or to expedite a procedure or process, or the use of a third party for such payments or gifts.  

   2.2 Conflicts of interest

There is a conflict of interest when the possibility of a personal profit (or profit for a family member) might influence the judgment or actions in relation to business carried out by ICAFe Group employees. It is your responsibility to avoid a conflict of interest.  You must proceed with the highest standards of integrity, honesty and fair dealing.  

Avoid the following situations:

       · Work for or represent a customer, supplier or competitor, regardless of the nature of the services provided, while employed by ICAFe Group. To represent or invest in a competitor, customer or supplier of ICAFe Group.

       · Acting as a consultant for a competitor, customer or supplier of ICAFe Group.

       · Using ICAFe´s Group name, employee or customer lists with any other purpose than business- or work-related activities.

       · Take personal advantage of a business opportunity available for the company; and any activity or arrangement (directly or indirectly) that could conflict or could reasonably be a conflict with your responsibilities at ICAFe Group.

   2.3 Anti-money laundering

As part of our commitment, ICAFe Group is committed to fighting money laundering practices. Conducting our business in compliance with applicable laws and requirements to fight and prevent these practices. We do our best to conduct business with partners who have legitimate business purposes and are using legitimate funds. If you are aware that any of our customers or suppliers is involved in an illegal activity keep yourself from doing business with them.  

   2.4 Prohibition of involvement with criminal organizations or individuals

We will not be voluntarily involved with criminal organizations or individuals.

   2.5 International Trade Policy

We will proceed accordingly to the rules of international trade and will comply with all trade regulations established and applicable to the import and export of the products we sell.

   2.6 Freedom of Association

We will respect the right of workers to associate freely, to join unions and to appoint representatives, also the right to form a group or association for lawful purposes.

3. Respect in our workplaces

ICAFe Group is committed to treating all employees equally and fairly. To demonstrate our commitment, we guarantee the right of every employee to express their concerns about the way they are being treated and we will approach such concerns in an atmosphere of respect and cooperation.

   3.1 Affirmative Action

ICAFe group is committed to a policy of affirmative action and we will facilitate employment to qualified individuals with disabilities at all levels of the organization. We believe that to succeed
in the market, we need to employ the best qualified person for each job. 
We provide equal opportunities, our decisions are made without considering age, race, skin color, religion, disability, marital status or sexual preference. This principle applies to decisions regarding hiring, training, evaluation or job promotions. 

   3.2 Prohibition of Harassment and discrimination

ICAFe group is committed to providing and maintaining a workplace that is free from harassment of any kind. Harassment is any offensive behavior, unwanted physical or verbal abuse regarding skin color, religion, gender, pregnancy status, age, marital status, disability, sexual orientation or any other aspect.  We prohibit any behavior that contributes to an intimidating or offensive working environment that will interfere with a person’s ability to do their job. Our harassment policy also includes any interaction between employees out of work, either personally, by phone, through electronic communications or social networks and / or after work events including among others, business meetings, dinners, training and work-related travel. Likewise, we do not accept any kind of discrimination due to skin color, religion, gender, pregnancy status, age, marital status, disability, sexual orientation, identity gender, or any other aspect of people.

   3.3 Child Labor

 We prohibit all kinds of child labor, forced and compulsory labor or exploitation.

   3.4 Health and Safety

Personal safety and health of all employees at ICAFe Group are of great importance. Prevention of injuries and diseases induced by labor shall take precedence over operational productivity. ICAFe´s group management will provide all mechanical and physical facilities required for personal health and safety of its employees and comply with the occupational laws for safety and health. Your personal well-being is our driving force to provide you with a safe working environment. No job is so important that you cannot take time to do it safely, this should be taken in consideration for everything you do. We are committed to creating a positive and safe environment for all our employees. ICAFe group has an attitude of “zero tolerance “to violence at the working place. Any action or threat of violence will be taken very seriously and will be investigated immediately by the company. We strictly prohibit the use, sale, order or possession of drugs, other controlled substances or alcohol use, in any amount, in any facilities or workstations at ICAFe companies.

   3.5 Human Rights

We respect and support international human rights and we will not participate or take part in any abuse situation. We recognize the importance of promoting fundamental human rights wherever we work.

We are committed to respecting freedom of association; all our employees have the right to freely form associations to promote and protect their interests as long as they are carried out within the scope of the applicable law. Likewise, we comply with current applicable laws and regulations regarding privacy, working hours, wages, discrimination, prohibition against people trafficking and recruitment of minors.  

4. Adequate use of company assets.

All assets owned by ICAFe Group have specific functions related to the operation of business and will be used for legitimate purposes. ICAFe Group’s assets are solely for the benefit of ICAFe
Group.  Inappropriate use or unauthorized use of assets and personnel resources is prohibited, you may not use any assets or facilities for personal purposes. (outside incidental use). You may not use any service provided by any group employee for personal purposes. This policy does not apply to benefits or services that have been approved for general use by employees.

   4.1 Privacy Policy

We are committed to protecting the personal information of our customers and business partners. We make sure we have processes that allow us to verify the following:

       · That all information was obtained legally and fairly.

       · That all information will be used for established limited purposes.

       · That all information will be processed in accordance with applicable laws.

       · We will only require information that is appropriate and relevant.

5. Social Responsibility

At ICAFe Group we strongly believe strongly in our responsibility to the environment and our communities, encouraging our employees to actively participate in ecological and social activities in different fields.

   5.1 Environment

ICAFe group understands the need to protect and preserve the environment by using appropriate natural resources and complying with local laws and regulations established. We have an Environmental Committee and permanent ecologic campaigns. We believe that environmental impact is an important issue to take in consideration when evaluating our supply chain. In our workplaces we promote the following actions for the benefit of our environment:

       · Eliminating the use of plastics in disposable cups and plates.

       · Saving water.

       · Saving electricity.

       · Proper use of natural resources.

       · Reduction in the use of paper.

We will encourage our suppliers to comply with similar policies.

   5.2 Community support

At ICAFe Group we have a commitment to support our local community, we encourage our employees to participate in different social welfare activities, supporting non-profit organizations that are helping vulnerable groups, we do this through different campaigns that encourage our employees to support by donating their time and or money. ICAFe Group will make donations and contributions that reflect our commitment to our local community and the most needy and vulnerable groups.
